Brenda Martin is the Founding President of UCAN, Inc. and has conducted national workshops on Social Media, Increasing Graduation Rates, Parenting Advocacy, and was selected as a National PTA Social Media Ambassador. She was the parent panelist on NBC’s EDUCATION NATION 2011: “Stepping Up: The Power of a Parent Advocate” for Parenting Magazine’s Mom Congress. Brenda was selected by the White House and the Department of Education to serve as "Champions of Change" on their "Winning the Future" national series on Whitehouse.gov. She is Parenting Magazine's Mom Congress-Kentucky delegate and the recipient of KinderCare's national Education Achievement Award 2010! (See, "The Power and Potential of Parent Advocates." ) Some of her services include: Northeastern Kentucky District PTA President and State PTA Board; Former President, Northeastern Kentucky Association for Gifted Education; UCAN & NEKAGE Summer Camp Creator/Director; Church Youth Director; Vacation Bible School Director; Prichard Committee's Commonwealth of Institute for Parent Leadership (CIPL) Fellow; School Based Decision Making; & Television Special host. Brenda has conducted a myriad of workshops as an Employability Skills Consultant at colleges and prisons. She is active in the schools, church and the community while working with youth and the elderly.
The name of the Corporation shall be United Communities to Advance Our Neighborhoods,Inc., hereinafter referred to as the Corporation.
The principal office of the Corporation in the State of Kentucky shall be located in...Russell, Kentucky, 41169. The Corporation may have such other offices,
either within or without the State of Kentucky, as the Board of Directors may designate or as the business of the Corporation may from time to time require.
The Corporations hall have no voting members.
BOARD OF DIRECTORS
Section1 . General Powers. The business affairs of the Corporation shall be managed by its Board of Directors. The Directors shall in all cases act as a Board, and they may adopt such rules and regulations for the conduct of their meetings and management of the Corporation as they may deem proper, not inconsistent with these Bylaws, the Articles of Incorporation and the laws of this State....
Section 5. Committees. The Board of Directors of this Corporation may, by resolution adopted by a majority of the Board of Directors, designate such committees for such purposes and with such authority as the Board of Directors may deem appropriate.
Section 6. Salaries and Compensation. The Board of Directors, by the affirmative vote of the Directors then in office shall have the authority to establish reasonable compensation of all personnel for services rendered or to be rendered to the Corporation; provided, however, that a Director shall be disqualified from voting upon compensation for services rendered to the Corporation when any personal interest is involved.
This is to certify that the foregoing Bylaws of United Communities to Advance Our Neighborhoods, Inc. were duly adopted by the Board of Directors of the Corporation at a meeting held on Nov. 29, 1994.
